KAAYO Refund, Cancellation and Billing Policy

1. Introduction

This Refund, Cancellation and Billing Policy ("Policy") governs how Aumraa Technologies Private Limited handles subscription fees, billing, automatic renewals, plan upgrades and downgrades, cancellations, refunds, taxes, and billing disputes in connection with KAAYO.

KAAYO is a product of Aumraa Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 1A, Sai Darshan Villas, 7/150, Kattapomman Street, Agaramthen, Chennai, 600126 ("Aumraa", "KAAYO", "we", "us", or "our").

This Policy applies to all paid, promotional, pilot, and trial access to KAAYO in India, including Basic, Pro, Ultra, custom, pilot, free trial, and coupon-based plans.

This Policy should be read together with the KAAYO Terms and Conditions and the KAAYO Privacy and Data Policy. In the event of a conflict between this Policy and the KAAYO Terms and Conditions on a billing or refund matter, this Policy shall prevail in respect of that matter.

By starting a paid subscription, redeeming a coupon, or continuing to use KAAYO beyond a free trial period where payment is required, you confirm that you have read, understood, and agreed to this Policy.

2. Plans and Availability

KAAYO may offer the following subscription plans from time to time:

  • Basic;
  • Pro;
  • Ultra;
  • custom or enterprise plans;
  • pilot plans (available by invitation during closed pilot periods);
  • free trials;
  • coupon-based or promotional access; and
  • other plans as introduced from time to time.

Not all plans are available to all users at all times. Ultra, custom, pilot, and enterprise plans may be hidden, invitation-only, manually activated, or otherwise restricted in their availability. Where a plan is described as a pilot plan, it is provided on a limited-access basis during the relevant pilot period and may have specific conditions communicated to you separately.

Plan features, usage limits, pricing, and availability may vary by product version, customer type, billing channel, or promotional arrangement. KAAYO may add, remove, rename, modify, or restrict plans at any time, subject to applicable law and any specific written commitments made to you.

3. Subscription Fees

Subscription fees applicable to your selected plan will be displayed in the application, on our website, in an invoice, in an order confirmation, in the relevant app store listing, or in the applicable payment flow at the time of purchase.

By initiating a paid subscription, you agree to pay the applicable fees, applicable taxes, and any other charges associated with your selected plan and billing period.

Unless expressly stated otherwise in the purchase flow or applicable plan terms:

  • all prices are denominated in Indian Rupees (INR);
  • subscription access is granted for the billing period purchased and is not open-ended;
  • subscription fees are charged in advance at the start of each billing period;
  • payment obligations are personal to the subscribing account and are not transferable;
  • promotional discounts or coupon-based pricing apply only for the specific period stated at the time of redemption; and
  • upon the expiry of a promotional or coupon period, standard pricing applicable to your plan will apply unless you cancel or change your plan before that point.

4. Free Trials

KAAYO may offer free trials at its discretion, subject to the specific terms displayed or communicated at the time the trial is offered.

Trial terms may specify:

  • the duration of the trial period;
  • the categories of users or organisations eligible for the trial;
  • the plan tier and features accessible during the trial;
  • any applicable usage limits (such as student numbers, branch limits, or feature restrictions) during the trial;
  • the trial expiry date; and
  • whether payment details are required before or after the trial period.

Unless KAAYO expressly states otherwise, a free trial is available once per organisation or user only. Creating multiple accounts or organisations for the purpose of obtaining multiple trials constitutes misuse and may result in account suspension or termination.

Where a trial requires payment details to be provided upfront, the purchase flow will clearly indicate whether your subscription will automatically commence billing at the conclusion of the trial. You are solely responsible for cancelling your subscription before the trial end date if you do not wish to be charged.

KAAYO reserves the right to shorten, terminate, modify, or revoke trial access if there is reasonable evidence of misuse, duplicate sign-up, fraudulent activity, or violation of the KAAYO Terms and Conditions.

5. Coupons, Discounts, and Promotional Access

KAAYO may, at its sole discretion, offer promotional coupons, discount codes, pilot access codes, extended access offers, founder pricing, or other promotional arrangements.

Unless stated otherwise in the specific offer, all coupons and promotional offers:

  • are limited to the plan, duration, customer category, usage volume, or campaign specified in the offer;
  • are personal to the account for which they are issued and may not be transferred, gifted, sold, or shared with another user or organisation;
  • cannot be redeemed for cash or any cash equivalent;
  • are subject to expiry dates as communicated at the time of issue or redemption;
  • may be single-use and may not be applied to more than one subscription period or account;
  • cannot be combined with other offers or promotions unless KAAYO expressly allows it; and
  • may be revoked or voided if KAAYO reasonably determines they have been misused, duplicated, transferred, or applied in a manner inconsistent with their stated conditions.

Where a coupon or promotional code extends or upgrades your plan access, the relevant expiry date or entitlement period will be confirmed in the application or in a confirmation provided to you at the time of redemption. Upon the expiry of the promotional period, your access may expire, revert to a lower plan tier, or renew at standard pricing, depending on the billing arrangement and the terms of the specific offer.

6. Renewals

Subscription renewal behaviour depends on the billing channel through which you subscribed.

Direct KAAYO billing. Subscriptions billed directly by KAAYO will renew automatically at the end of each billing period unless you cancel before the renewal date. The renewal charge will be applied to your nominated payment method.

App-store billing. If you subscribed through Google Play or the Apple App Store, your subscription renewal is managed by that app store. Renewals, renewal pricing, and cancellation of renewal must be managed through your account settings in the relevant app store. Deleting the KAAYO application from your device does not cancel an app-store subscription.

Payment-provider or UPI autopay billing. If your subscription is processed through a payment gateway, UPI autopay mandate, card network, bank, or other third-party payment provider, renewals may be governed by the terms and processing cycles of that provider. You are responsible for maintaining a valid payment mandate and ensuring sufficient funds or credit are available at the renewal date.

You are responsible for reviewing your renewal date, the applicable plan price, and the cancellation requirements before each billing period. KAAYO may provide renewal reminders through the application or by email, but is not obligated to do so.

7. Upgrades and Downgrades

Where the product permits, you may request an upgrade to a higher plan tier or a downgrade to a lower plan tier.

Unless expressly stated otherwise at the time of the change:

  • upgrades take effect immediately upon confirmation and the new plan's features and limits will apply from that point; any additional fee for the upgrade may be charged immediately or prorated depending on the billing channel;
  • downgrades take effect at the end of the current billing period, and you will retain access to the higher-tier plan until that period concludes;
  • feature access and usage limits will change in accordance with the new plan from the effective date of the change;
  • data already stored in KAAYO will generally remain accessible but some features associated with the higher plan may no longer be available after a downgrade;
  • prorated credits or charges may or may not apply depending on the billing channel and plan configuration; and
  • custom or manually activated plans may require KAAYO support to process an upgrade or downgrade.

If a downgrade would result in your current usage exceeding the limits of the lower-tier plan (for example, a higher number of active students than the lower plan permits), KAAYO may restrict the addition of new data, disable certain features until usage is brought within the plan limit, or require you to upgrade to a plan that accommodates your current usage.

8. Cancellations

You may cancel your KAAYO subscription through the application, our website, your app-store account settings, your payment provider's settings, or by contacting KAAYO support, depending on the channel through which you originally subscribed.

Cancellation stops future automatic renewals. Unless required by applicable law or expressly agreed in writing, cancellation does not entitle you to a refund for the remaining portion of the current billing period.

Following cancellation:

  • you will generally retain access to paid features until the end of the current paid billing period, unless the specific plan or billing provider states otherwise;
  • at the end of the billing period, your account will move to a free, expired, read-only, or downgraded state, as applicable;
  • access to features available only under paid plans will be suspended when the billing period ends;
  • your data will be retained and deleted in accordance with the KAAYO Privacy and Data Policy; and
  • any outstanding or unpaid charges for the current or prior billing periods remain due and payable.

Important for app-store subscribers. If you subscribed through Google Play or the Apple App Store, you must cancel through your account settings in the relevant app store. Cancelling within the KAAYO application alone, or deleting the KAAYO application from your device, does not cancel an app-store subscription and does not prevent the app store from billing you at renewal.

9. Refunds

Subject to the specific exceptions described below, KAAYO subscription fees are generally non-refundable once a billing period has commenced. This is consistent with standard SaaS subscription practice and the nature of software services that are made available immediately upon payment.

KAAYO may, at its sole discretion and without creating an obligation to do so in future cases, consider a refund in the following specific circumstances:

  • a duplicate charge resulting from a technical error by KAAYO or its payment provider;
  • a demonstrable billing error in which the incorrect amount was charged relative to the stated and agreed plan price;
  • a double payment for the same billing period caused by a payment system error;
  • a payment captured after KAAYO confirmed in writing that a cancellation had been processed, where the charge resulted from a KAAYO-side error; or
  • a failure to activate the service after a successful payment was completed, caused by a KAAYO-side error.

Any such refund request must be supported by documentary evidence and will be assessed on a case-by-case basis. Approval of a refund in any individual case does not constitute a waiver of KAAYO's general no-refund position or create any right to a refund in any other case.

KAAYO will not provide refunds in the following circumstances:

  • change of mind after a subscription has commenced;
  • failure to cancel a subscription before the automatic renewal date;
  • non-use or low use of KAAYO during a paid period;
  • access difficulties arising from your device, internet connection, app-store account, or third-party services outside KAAYO's control;
  • a decision to downgrade plans after the billing period for the higher plan has already commenced;
  • requests for refunds for partial months or partial billing periods, unless the billing error exceptions above apply;
  • expiry, revocation, or misapplication of promotional offers or coupons due to user error or misuse;
  • suspension of access resulting from a breach of the KAAYO Terms and Conditions;
  • incorrect account, billing, or personal information entered by you; or
  • disputes between you and parents, guardians, students, or staff relating to your academy's fee collection, payment records, or operational matters.

App-store and third-party platform purchases. If you purchased your KAAYO subscription through Google Play, the Apple App Store, or another third-party platform, refund requests for those transactions must be submitted directly to the relevant platform, and the platform's refund policy applies. KAAYO is not in a position to process refunds for transactions controlled by a third-party platform.

10. Billing Errors and Disputes

If you believe that a charge applied to your account is incorrect, you must contact KAAYO at ramkumar.g@aumraa.com within 30 days of the date the charge appeared on your payment statement or was reflected in the KAAYO application.

When raising a billing dispute, please provide:

  • the phone number or email address associated with your KAAYO account;
  • your organisation or academy name;
  • the invoice number, order reference, transaction ID, or payment reference where available;
  • the date and amount of the disputed charge;
  • the payment method used (such as UPI, card, app store, or payment gateway);
  • a clear description of why you believe the charge is incorrect; and
  • any supporting documents, screenshots, or receipts that may assist in verifying your claim.

KAAYO may request additional information to verify your account, the disputed charge, and the basis for your claim before making a determination.

Initiating a chargeback, payment reversal, or formal dispute with your bank, payment provider, or app store before raising the matter with KAAYO may result in suspension of your KAAYO account pending resolution of the dispute, particularly where the payment is reversed or marked as fraudulent by the payment provider.

11. Failed Payments

If a scheduled payment fails, is reversed by your bank or payment provider, is subject to a chargeback, or cannot otherwise be collected, KAAYO may take one or more of the following steps:

  • send a notification to the contact details registered on your account;
  • attempt to retry the payment where the billing channel and your payment mandate permit;
  • suspend access to paid features pending successful payment;
  • downgrade your account to a free or restricted tier;
  • restrict the ability to add new data to your account;
  • place your account in a read-only or expired state;
  • require you to update your payment details before access is restored;
  • cancel the subscription if payment remains outstanding for an extended period; or
  • pursue recovery of outstanding amounts through available legal means.

You are solely responsible for ensuring that your nominated payment method remains valid, that sufficient funds or credit are available at the time of each billing cycle, and that any payment mandates remain active and authorised. You must update your payment details promptly if your card, UPI account, bank account, or other payment method changes.

12. Taxes and Invoices

Subscription fees may be quoted inclusive or exclusive of applicable taxes depending on the purchase flow, invoice, billing channel, and applicable legal requirements at the time of purchase. Where applicable, Goods and Services Tax (GST) or other indirect taxes will be charged in addition to the stated subscription fee, unless the stated price is expressly described as tax-inclusive.

You are responsible for providing accurate billing information, legal entity name, registered address, and GSTIN (if applicable) to enable KAAYO to issue compliant tax invoices where required. KAAYO is not responsible for any tax filing, input tax credit claim, accounting treatment, or expense classification decisions you make in respect of KAAYO subscription charges.

KAAYO may issue invoices, tax receipts, or subscription confirmation documents through the application, by email, through the relevant payment provider, or through the applicable app store.

13. App Store and Third-Party Payment Terms

If you purchase or renew your KAAYO subscription through Google Play, the Apple App Store, Razorpay, a UPI autopay provider, a card network, a bank, or any other third-party payment platform, the terms, pricing, billing cycles, refund policies, and cancellation procedures of that platform will apply to your transaction, in addition to this Policy.

Where a third-party platform's refund policy conflicts with KAAYO's refund position, the platform's policy will govern for transactions processed through that platform. KAAYO is not able to directly cancel, refund, reverse, or modify transactions that are processed and controlled by a third-party platform.

You should review the relevant platform's terms and refund policy before completing a purchase.

14. Plan Limits and Feature Access

Subscription plans may include caps or differences on features such as:

  • number of active student records;
  • number of branches or academy locations;
  • number of manager or staff user accounts;
  • attendance management features;
  • fee and payment tracking features;
  • reminder volume or frequency;
  • export and reporting functionality;
  • support tier and response time;
  • data import volume or frequency;
  • storage capacity; or
  • access to advanced workflows or integrations.

Plan limits may be enforced through automatic system controls, account review, or a combination of both. If you reach or exceed a plan limit, KAAYO may display a warning in the application, restrict the addition of new records or features, ask you to upgrade your plan, or apply additional charges for usage above the stated limit, with reasonable advance notice where required.

15. Pilot Plan Specific Terms

During closed pilot periods, KAAYO may provide pilot plan access to a limited number of users by invitation. Pilot access may be provided free of charge, at a reduced rate, or on terms communicated to you separately in writing.

Pilot access:

  • is invitation-only and may not be transferred to another user or organisation;
  • may be subject to usage limitations, product feature restrictions, or data volume caps;
  • may be subject to a specific pilot period end date, after which access may expire, convert to a paid plan, or be discontinued;
  • is provided for the purpose of product testing, user feedback, and evaluation, and KAAYO may gather feedback or usage data during the pilot;
  • does not constitute a guarantee of future plan pricing, availability, or feature set; and
  • may be modified or withdrawn by KAAYO with reasonable notice during the pilot period.

Refund terms applicable to any fees paid for pilot access will be as stated in the pilot offer or, if not stated, in accordance with the general refund terms in Section 9 of this Policy.

16. Price and Policy Changes

KAAYO may change subscription prices, plan features, plan names, billing cycles, trial terms, coupon terms, and the terms of this Policy from time to time.

Where a change is material and affects currently active paid subscriptions, KAAYO will provide reasonable advance notice of the change, typically through the application, by email, or through other appropriate channels. The notice period will be reasonable in the circumstances and, where required, will comply with any minimum notice period prescribed by applicable Indian law.

If you do not agree to a material price or policy change, you may cancel your subscription before the change takes effect, in which case you will not be charged under the new terms. If you continue to use KAAYO after a price or policy change takes effect, you are deemed to have accepted the updated pricing and Policy terms.

17. Account Suspension and Termination for Billing Reasons

In addition to the suspension and termination provisions in the KAAYO Terms and Conditions, KAAYO may suspend or terminate your account or subscription for the following billing-related reasons:

  • failure to make payment by the due date;
  • payment reversal or chargeback that leaves outstanding amounts unrecovered;
  • expiry of a subscription, trial, or promotional access period without renewal;
  • expiry of a coupon or promotional access period;
  • provision of inaccurate or outdated billing information;
  • detection of a fraudulent transaction, chargeback, or misuse of a payment method;
  • plan misuse, including use inconsistent with plan limits or conditions; or
  • a legal, regulatory, or payment-provider direction to suspend or terminate.

Suspension or termination of your account does not release you from any payment obligations already incurred. Outstanding amounts remain due and may be pursued through available legal means.

Following suspension or termination, the handling of your account data will be governed by the KAAYO Privacy and Data Policy.

18. No Guarantee of Academy Fee Collection

KAAYO provides tools to help tutors and academies record fee amounts, payment status, payment dues, and fee reminders. KAAYO does not guarantee, represent, or warrant that parents, guardians, or students will pay fees owed to your academy as a result of using KAAYO.

You are solely responsible for collecting your own academy fees, issuing receipts or invoices where required by law or commercial practice, managing and resolving any fee disputes with parents, guardians, or students, and complying with all applicable tax, GST, accounting, and consumer protection obligations in relation to your academy's finances.
