KAAYO Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of KAAYO, a mobile and software service for tutors, academies, coaching centres, martial arts schools, dance, music, and sports coaches, tuition centres, and similar education or activity businesses in India.
KAAYO is a product of Aumraa Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 1A, Sai Darshan Villas, 7/150, Kattapomman Street, Agaramthen, Chennai, 600126 ("Aumraa", "KAAYO", "we", "us", or "our"). The person or organisation using KAAYO is referred to as "Customer", "you", or "your".
By creating an account, starting a trial, subscribing to a paid plan, accessing the application, or using any KAAYO feature, you agree to be bound by these Terms and the policies incorporated herein by reference. If you are using KAAYO on behalf of an academy, centre, organisation, partnership, company, or other legal entity, you represent and warrant that you have full authority to accept these Terms on that entity's behalf and to bind it to these Terms.
If you do not agree to these Terms, you must not use KAAYO.
These Terms are a legally binding agreement between you and Aumraa Technologies Private Limited, governed by the laws of India, including but not limited to the Information Technology Act, 2000 and the rules thereunder, the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Consumer Protection Act, 2019, and any other applicable Indian legislation.
2. What KAAYO Does
KAAYO is an operational management tool that helps tutors and academies manage student records, parent and guardian contacts, attendance, class schedules, fee records, payment status, fee reminders, data imports, data exports, and subscription access.
KAAYO is a software tool only. KAAYO does not provide teaching services; does not collect fees on behalf of tutors or academies unless expressly enabled through a designated integrated payment feature; does not guarantee payment by parents, guardians, or students; does not verify the accuracy of student information entered by you; does not verify guardian consent on your behalf; and does not act as your legal, accounting, tax, educational, or compliance advisor.
3. Eligibility
KAAYO is intended solely for users in India.
You may use KAAYO only if:
- you are at least 18 years of age;
- you are legally competent to enter into a binding contract under applicable Indian law;
- you are using KAAYO for a lawful tutoring, coaching, academy, or class-management purpose;
- you have the authority to manage the personal data you enter into KAAYO; and
- your use of KAAYO complies with all applicable Indian laws and regulations.
KAAYO is not intended for direct use by students or parents unless we expressly introduce a student-facing or parent-facing feature in a future product version.
4. Account Registration and Security
You must provide accurate, current, and complete account information, including your name, phone number, email address, organisation or academy details, and billing information where applicable. You must keep this information updated throughout the duration of your use.
You are solely responsible for:
- maintaining the confidentiality and security of your login credentials;
- controlling access to your device and your KAAYO account;
- ensuring that only authorised staff, managers, or administrators access your organisation's KAAYO workspace;
- promptly revoking access for staff or associates who are no longer authorised;
- keeping your contact and billing information current and accurate; and
- notifying KAAYO immediately if you become aware of or suspect any unauthorised access to or use of your account.
KAAYO may use phone OTP, Google Sign-In, device biometrics, or other authentication mechanisms. Where biometric authentication is enabled on your device, it functions as a convenience mechanism and does not substitute for your obligation to maintain account security.
You are responsible for all activity conducted under your account, except to the extent such activity results from KAAYO's own breach of these Terms or a failure attributable solely to KAAYO.
5. Roles, Managers, and Staff Access
KAAYO may support roles such as owner, master, admin, manager, or staff. The precise permissions associated with each role may vary by plan and product version and will be described in the application.
The account owner or primary academy administrator is solely responsible for:
- determining who receives access to the KAAYO workspace;
- assigning the appropriate role to each user;
- monitoring staff and manager activity within the workspace;
- ensuring that all users of the workspace use KAAYO in accordance with these Terms and applicable law; and
- promptly removing access for any user who is no longer authorised.
Any action taken by a manager, staff member, or other user within your organisation's workspace — including recording attendance, updating student records, recording payments, sending reminders, importing data, exporting data, or any other use of KAAYO features — is treated as an action taken under your authorisation and for which you bear responsibility.
6. Customer Responsibilities
You are responsible for your use of KAAYO and for all data you, your staff, or any other user you authorise enters into KAAYO.
You agree that you will:
- use KAAYO solely for lawful tutoring, academy, class-management, attendance, fee-management, and related operational purposes;
- provide accurate, complete, and current information in KAAYO at all times;
- keep student, parent, guardian, fee, attendance, and payment records accurate and up to date;
- obtain all necessary consents, permissions, and authorisations required under applicable law to collect, store, use, and share the personal data you enter into KAAYO;
- comply with all applicable Indian laws and regulations, including those relating to data protection, child protection, consumer rights, tax, payment systems, telecommunications, messaging, and education;
- use KAAYO's reminder and communication tools solely for genuine, lawful operational communications;
- handle exported data files securely and ensure they are not disclosed to unauthorised persons; and
- ensure that any data imported into KAAYO was lawfully collected and that you have authority to process it.
You must not:
- use KAAYO for any unlawful, fraudulent, abusive, misleading, deceptive, or harmful purpose;
- enter, process, or store personal data that you are not authorised to handle;
- use KAAYO to harass, spam, threaten, intimidate, or mislead parents, guardians, students, or any other person;
- use KAAYO's reminder or messaging features for marketing or promotional communications without valid, documented consent from the recipient and compliance with applicable law and platform policies;
- upload, transmit, or introduce malicious files, viruses, malware, spyware, or any harmful code;
- attempt to bypass authentication controls, access data belonging to another KAAYO customer, interfere with KAAYO's systems, or conduct any form of penetration testing or vulnerability scanning without KAAYO's prior written consent;
- reverse engineer, decompile, disassemble, copy, scrape, resell, sublicense, or otherwise misuse KAAYO or its underlying technology, except as expressly permitted by applicable law;
- use KAAYO, or information obtained through KAAYO, to develop, build, or assist in building a competing product or service; or
- remove, obscure, or alter any KAAYO branding, copyright notices, policy links, or legal attributions.
7. Student, Parent, and Guardian Data
KAAYO allows you to store and manage personal data about students and their parents or guardians. This may include names, phone numbers, attendance records, class details, enrolment details, fee amounts, payment records, notes, addresses, gender, blood group, photographs, and communication preferences.
You determine what student and parent data to collect, the purpose for which it is collected, how it is used within your academy operations, and when it should be deleted. KAAYO provides software infrastructure to assist you in managing that data.
With respect to student, parent, and guardian data that you submit to KAAYO:
- you are the primary decision-maker regarding the purpose and means of processing that data and bear primary responsibility for it;
- you are responsible for ensuring that the data is collected and processed on a lawful basis under applicable Indian law;
- you are responsible for providing any notices required by law to parents, guardians, or students prior to collecting their data;
- you are responsible for obtaining any parent or guardian consent required by applicable law, including in respect of minor students;
- you are responsible for responding to requests from parents, guardians, students, or regulators regarding their personal data, unless KAAYO is independently and legally required to respond directly; and
- KAAYO processes such data to provide, secure, maintain, improve, and support the KAAYO service, as described in these Terms and the KAAYO Privacy and Data Policy.
KAAYO reserves the right to refuse, restrict, suspend, or delete data or usage that appears unlawful, abusive, harmful, or materially inconsistent with these Terms.
8. Children and Guardian Consent
Many students managed through KAAYO may be under 18 years of age. You acknowledge that personal data relating to children requires heightened care and specific obligations under Indian law, including applicable provisions of the DPDP Act.
Before entering any minor student's personal data into KAAYO, you represent, warrant, and confirm that:
- you have the authority to collect and manage that student's personal data in the context of your academy operations;
- you have obtained verifiable parent or lawful guardian consent as required by applicable law prior to entering the data;
- you have provided all notices required by law to the parent or lawful guardian;
- the data collected is necessary, proportionate, and limited to legitimate class, attendance, safety, fee management, or academy administration purposes;
- the data will not be used in any manner that is detrimental to the student's physical, psychological, or social wellbeing; and
- the data will not be used for tracking, behavioural monitoring, profiling, or targeted advertising directed at or in relation to children.
KAAYO does not provide student-facing advertising, behavioural tracking, or targeted advertising to children. You must not use KAAYO to enable or facilitate any such activity.
KAAYO may, at its sole discretion, introduce product controls, consent confirmation workflows, targeted deletion tools, or access restrictions to support your compliance with children's data protection obligations under applicable Indian law.
9. Data Responsibility Addendum
This section constitutes the data responsibility arrangement between you and KAAYO in connection with the personal data processed through the service.
For account, billing, subscription, support, security, and product usage data relating to you and your authorised users, KAAYO acts as the Data Fiduciary or equivalent responsible party, as described in the KAAYO Privacy and Data Policy.
For student, parent, and guardian data that you enter into KAAYO, you act as the primary Data Fiduciary or equivalent responsible party because you determine the purpose and means of processing that data for your academy or tutoring operations. KAAYO acts as a Data Processor or service provider for such data, processing it solely on your behalf and in accordance with your instructions and applicable law to provide and support KAAYO.
KAAYO will:
- process student, parent, and guardian data solely to provide, secure, operate, troubleshoot, improve, and support KAAYO;
- implement and maintain reasonable technical and organisational security measures appropriate to the nature of the data;
- engage subprocessors, including cloud hosting, authentication, analytics, messaging, payment, and application infrastructure providers, only to the extent necessary to provide KAAYO, and subject to reasonable safeguard obligations;
- assist you, through available product features or support channels, in responding to requests for data export, correction, deletion, or access relating to data you control;
- notify you of security incidents affecting your KAAYO workspace where required by applicable law or these Terms; and
- delete or make available for export customer data following account termination, in accordance with the KAAYO Privacy and Data Policy, applicable backup cycles, and applicable law.
You will:
- ensure you have a lawful basis and all required consents and authorisations for the data you submit to KAAYO;
- keep data accurate, current, and limited to what is necessary for your stated purpose;
- respond to requests from parents, guardians, students, or staff relating to data for which you are responsible;
- not submit data that is unlawful, excessive, unnecessary for your academy operations, or otherwise inconsistent with applicable law;
- use exports, reports, reminders, and integrations lawfully and in accordance with these Terms; and
- indemnify and hold KAAYO harmless from claims, liabilities, penalties, costs, and expenses arising out of data you submit to KAAYO or instructions you give to KAAYO, except to the extent any such claim is directly caused by KAAYO's breach of these Terms or applicable law.
In the event of a conflict between this section and the KAAYO Privacy and Data Policy, the provision that affords greater protection to the personal data in question shall prevail, unless applicable law requires otherwise.
10. Attendance, Fees, and Payment Records
KAAYO may assist you in recording attendance, monthly fees, registration fees, payment status, amounts due and paid, payment mode, notes, and related operational data.
You are solely responsible for:
- the accuracy of all fee and payment records entered into or managed through KAAYO;
- independently confirming and verifying whether a parent, guardian, or student has actually made a payment;
- issuing receipts, invoices, or tax documents where required by law or commercial practice;
- managing cash, UPI, bank transfer, and other offline payment modes outside of KAAYO;
- complying with all applicable tax, accounting, GST, consumer protection, and local business licensing or registration requirements; and
- resolving any disputes with parents, guardians, students, or staff regarding fees, payment records, or attendance.
Unless KAAYO expressly provides an integrated payment collection feature, KAAYO does not collect money from parents on your behalf, settle or disburse funds, guarantee payment by any party, verify offline payments, or act in any capacity as a payment intermediary, aggregator, or escrow.
Where KAAYO does offer online payment, billing, app-store billing, subscription management, invoice generation, or payment-gateway features, additional terms of the relevant payment provider and the KAAYO Refund, Cancellation and Billing Policy will apply.
11. WhatsApp and Communication Tools
KAAYO may assist you in preparing fee reminders, class reminders, attendance updates, or similar operational messages, and may open WhatsApp or generate a WhatsApp deep link for you to dispatch the message manually from your own device and account.
For manual WhatsApp reminders operating via deep link (Phase 1):
- KAAYO prepares or displays the suggested message content;
- you retain full discretion as to whether to send the message and to whom;
- the message is dispatched by you, from your device and your WhatsApp account or phone number;
- you are solely responsible for ensuring that the recipient has consented to receive communications from you via WhatsApp or the relevant channel; and
- you are solely responsible for the content, timing, accuracy, and legality of any message you choose to send.
You must not use KAAYO's reminder or messaging features to send spam, harassment, threats, unsolicited commercial messages, or any communication that is misleading, deceptive, or in violation of applicable telecom, data protection, or consumer protection law.
The following is suggested wording for your academy's admission forms or communication consent notice, for the purpose of obtaining parent or guardian consent to receive WhatsApp communications:
"I consent to receiving fee reminders, class updates, attendance notifications, and other academy-related operational messages from [ACADEMY NAME] via WhatsApp or phone at the number I have provided. I understand that I may withdraw this consent at any time by notifying the academy."
If KAAYO introduces automated WhatsApp Business API messaging in a future product version, additional requirements will apply, including approved message templates, documented opt-in records, functional opt-out mechanisms, compliance with Meta's platform policies, and applicable telecom and data protection obligations. Separate terms and disclosures will be provided before any such feature is enabled.
12. Imports, Exports, and Offline Files
KAAYO may allow you to import student data from CSV or compatible file formats and to export student, payment, attendance, or other operational data.
You are responsible for ensuring that:
- any data imported into KAAYO was collected lawfully and that you have the authority and, where required, the consent to process it;
- imported files do not contain unnecessary, excessive, or unauthorised personal data;
- imported data is accurate, current, and relevant to your academy operations;
- exported files are stored securely on your device and systems;
- exported files are not transmitted or disclosed to unauthorised persons; and
- any person or system to which exported data is shared is authorised to receive and process that data.
Once data is exported from KAAYO and resides on your device, in another application, or with a third party, KAAYO has no ability to control the use, security, or onward disclosure of that data. You assume full responsibility for exported data from the point of export.
KAAYO may log import and export activity for security, accountability, support, and compliance purposes.
13. Photos, Health-Related Fields, and Sensitive Operational Data
KAAYO may support optional data fields such as student photographs, blood group, address, notes, or other operationally relevant information. Some of this information may constitute sensitive personal data under applicable Indian law.
You should collect such information only where it is genuinely necessary for identifiable and lawful academy purposes, such as student identification, emergency preparedness, safety management, or attendance administration.
You are responsible for ensuring that all sensitive operational information is:
- collected with appropriate consent from the relevant parent, guardian, or student, or on another lawful basis under applicable law;
- limited in scope to what is strictly necessary for the stated purpose;
- kept accurate and updated where required;
- accessible only to authorised staff with a legitimate need; and
- securely deleted when the purpose for which it was collected has been fulfilled or when it is no longer required.
KAAYO reserves the right to restrict, remove, or redesign data fields that, in KAAYO's assessment, create disproportionate legal, privacy, or safety risk.
14. Subscriptions, Plans, and Paid Features
KAAYO may offer free trials, coupon-based access, and subscription plans including Basic, Pro, Ultra, pilot, custom, or other tiers. Specific plans may be hidden, invitation-only, availability-restricted, or modified over time at KAAYO's discretion.
Plan features, student or usage limits, pricing, renewal dates, billing cycles, and entitlements will be displayed in the application, on our website, in an invoice, or in an order confirmation provided to you at the time of purchase or plan activation.
By starting a paid subscription, redeeming a coupon that activates paid access, or continuing to use KAAYO after a free trial period where payment is required, you agree to pay all applicable charges, fees, and taxes in accordance with the selected plan and billing terms.
KAAYO reserves the right to:
- change plan names, features, usage limits, or pricing, with notice where required by applicable law;
- introduce, modify, or withdraw free trials or promotional offers;
- restrict access to specific features based on your plan;
- offer custom or negotiated pricing to selected customers at its discretion;
- suspend access to paid features in the event of failed or overdue payment; and
- correct any pricing or plan configuration errors.
Refunds, cancellations, automatic renewals, applicable taxes, failed payment consequences, and billing disputes are governed exclusively by the KAAYO Refund, Cancellation and Billing Policy.
15. Trials, Coupons, and Promotions
KAAYO may offer free trials, promotional discounts, coupons, pilot access, extended access, or founder-tier pricing at its sole discretion.
Trials, coupons, and promotions:
- may be limited by time period, plan type, user account, organisation, geography, or usage volume;
- are personal to the account for which they are issued and are not transferable to another user or organisation;
- are not redeemable for cash or cash equivalents;
- may be subject to expiry dates;
- may be withdrawn if KAAYO reasonably determines they have been misused; and
- may be corrected or voided if issued in error.
KAAYO may decline to honour or may cancel a coupon or promotion if there is reasonable evidence of misuse, duplication, resale, transfer, or application in a manner inconsistent with its stated conditions.
16. Third-Party Services
KAAYO relies on and integrates with third-party services to deliver its functionality. These may include Firebase (Google LLC), Google Cloud Platform, Google Sign-In, phone OTP infrastructure providers, analytics platforms, app stores (Google Play, Apple App Store), payment gateways, crash reporting and monitoring tools, communication providers, and other technology infrastructure services.
Your use of KAAYO may involve your data being processed by such third parties, subject to their own terms of service, privacy policies, fees, limitations, and availability. KAAYO has no control over the availability, conduct, or terms of third-party services.
KAAYO is not liable for the acts, omissions, outages, data practices, or failures of third-party services, except to the extent that liability cannot be excluded under applicable Indian law or is expressly stated in these Terms.
17. Availability, Changes, and Maintenance
KAAYO is a live and evolving software service. We may update, modify, add, suspend, remove, replace, or discontinue any feature, screen, workflow, plan, third-party integration, or service component at any time.
While we aim to maintain a reliable and available service, we do not guarantee uninterrupted or error-free operation. KAAYO may be unavailable or degraded due to scheduled maintenance, software upgrades, infrastructure issues, network outages, device compatibility issues, third-party service outages, security incidents, force majeure events (including acts of God, natural disasters, government orders, public health emergencies, or widespread network failures), or other circumstances beyond our reasonable control.
We will communicate service updates, planned maintenance, and material changes through the application, our website, email, phone, WhatsApp, or other reasonable channels.

KAAYO may require you to provide information sufficient to verify your identity, account, organisation, and authority before acting on a support, billing, or data request.
Where a grievance or data request relates to student, parent, or guardian data controlled by a tutor or academy, KAAYO may direct that request to the relevant tutor or academy, who is responsible for responding, and may assist the tutor or academy in doing so.
We aim to acknowledge grievances within a reasonable period and to respond or resolve them in accordance with applicable law.
19. Privacy
Your use of KAAYO is also governed by the KAAYO Privacy and Data Policy, which is incorporated into these Terms by this reference.
The Privacy and Data Policy describes what personal data KAAYO collects, the purposes for which it is processed, the split of responsibilities between KAAYO and its customers, how subprocessors and vendors are used, data retention and deletion practices, your rights under applicable Indian law, and how to raise a grievance.
If you do not agree to the KAAYO Privacy and Data Policy, you must not use KAAYO.
20. Intellectual Property
KAAYO, including its software, source code, application design, branding, logos, workflows, user interfaces, documentation, templates, and all related materials, is owned by Aumraa Technologies Private Limited or its licensors and is protected by applicable intellectual property law.
Subject to your compliance with these Terms, KAAYO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use KAAYO solely for your internal academy or tutoring operations in India, for the duration of your subscription or authorised access period.
You retain all rights in the customer data you enter into KAAYO. By using KAAYO, you grant Aumraa Technologies Private Limited the rights necessary to host, store, process, transmit, display, back up, secure, troubleshoot, and otherwise handle your data for the purpose of providing KAAYO and fulfilling our obligations under these Terms.
You must not copy, modify, adapt, translate, distribute, sell, lease, sublicense, publicly display, reverse engineer, decompile, disassemble, or create derivative works from KAAYO or any part of it, except as expressly permitted by applicable law or by prior written authorisation from KAAYO.
21. Feedback
If you submit suggestions, feature ideas, bug reports, improvement requests, or other feedback relating to KAAYO, you grant Aumraa Technologies Private Limited a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, incorporate, modify, and commercialise that feedback without restriction or any obligation to compensate you. KAAYO is not required to treat feedback as confidential unless agreed separately in writing. This clause does not affect your ownership of the underlying data or content you submit.
22. Suspension and Termination
KAAYO may, with immediate effect or after reasonable notice as the circumstances permit, suspend or terminate your access to KAAYO if:
- you breach any provision of these Terms;
- payment fails or remains overdue beyond the applicable grace period;
- your use of KAAYO creates actual or reasonably foreseeable legal, regulatory, security, operational, reputational, or safety risk to KAAYO, its customers, or third parties;
- you misuse student, parent, guardian, payment, messaging, import, export, or account features;
- you provide false, misleading, or fraudulent information to KAAYO;
- KAAYO is required to do so by applicable law, a court order, a government or regulatory authority, an app store, or a payment provider;
- KAAYO detects suspicious, fraudulent, abusive, or unauthorised activity on your account; or
- KAAYO discontinues the service or a material part of it.
You may cease using KAAYO at any time. If you wish to cancel a paid subscription, the consequences for billing and access are governed by the KAAYO Refund, Cancellation and Billing Policy.
Following termination for any reason, KAAYO may retain or delete data in accordance with the KAAYO Privacy and Data Policy, applicable backup cycles, legal and tax obligations, security needs, and dispute resolution requirements.
23. Disclaimers
KAAYO is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable Indian law, KAAYO, Aumraa Technologies Private Limited, and their founders, directors, employees, contractors, and affiliates disclaim all warranties, representations, conditions, or undertakings, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.
In particular, KAAYO does not warrant or guarantee that:
- parents, guardians, or students will pay fees owed to your academy;
- fee reminders will result in payment;
- attendance, fee, or student records entered by you are accurate, complete, or lawful;
- imported data files are error-free or consistent with records maintained by your academy;
- WhatsApp, payment providers, app stores, Firebase, Google, or other third-party services will be continuously available or will function without interruption;
- KAAYO will satisfy every legal, accounting, tax, educational, or operational requirement specific to your academy or jurisdiction; or
- the service will be uninterrupted, timely, secure, or free of errors or data loss at all times.
KAAYO does not provide legal, tax, accounting, child-safety, medical, educational, or financial advice. You should obtain independent professional advice for all such matters.
24. Limitation of Liability
To the fullest extent permitted by applicable Indian law, neither KAAYO nor Aumraa Technologies Private Limited, nor their respective founders, directors, employees, contractors, or affiliates, shall be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, or business interruption, however arising and regardless of the theory of liability, even if KAAYO has been advised of the possibility of such damages.
To the fullest extent permitted by applicable Indian law, KAAYO's total aggregate liability to you arising out of or in connection with these Terms, the service, or any related matter shall not exceed the greater of:
- the total fees actually paid by you to KAAYO in the three calendar months immediately preceding the event giving rise to the claim; or
- INR 2,000 (two thousand rupees)
The limitations set out in this section apply collectively to all claims of any kind, whether based in contract, tort, statute, or any other legal theory.
Nothing in this section shall exclude or limit liability that cannot lawfully be excluded or limited under applicable Indian law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that the Information Technology Act, 2000 or the Consumer Protection Act, 2019 does not permit to be excluded.
25. Indemnity
You agree to defend, indemnify, and hold harmless Aumraa Technologies Private Limited, its founders, directors, officers, employees, contractors, affiliates, successors, and assigns from and against any and all third-party claims, demands, suits, proceedings, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:
- your breach of any provision of these Terms;
- any personal data you, your staff, or your authorised users submit to KAAYO, including any failure to obtain required consents or lawful authority;
- your failure to give required notices to parents, guardians, students, or other data subjects;
- your use of student, parent, guardian, fee, attendance, payment, import, export, or messaging features;
- inaccurate, unlawful, or unauthorised records, data, or instructions provided by you;
- disputes between you and parents, guardians, students, staff, or third parties arising from your academy operations;
- your violation of any applicable law, regulation, or third-party right; or
- misuse of your KAAYO account or workspace by your staff or any person you have authorised.
This indemnity does not apply to the extent that a claim arises directly from KAAYO's breach of these Terms or KAAYO's own violation of applicable law.
26. Changes to These Terms
KAAYO may amend or update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this document. We may also notify you of material changes through the application, our website, email, phone, WhatsApp, or other appropriate channels.
Where a change is material, we will endeavour to provide reasonable advance notice before it takes effect, unless immediate amendment is necessary for legal, security, regulatory, or operational reasons.
Your continued use of KAAYO after updated Terms have taken effect constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using KAAYO and, if applicable, cancel your subscription in accordance with the KAAYO Refund, Cancellation and Billing Policy.
27. Governing Law and Jurisdiction
These Terms are governed by, and shall be construed in accordance with, the laws of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, and any other applicable Indian legislation.
Subject to any mandatory dispute resolution requirements under applicable law, the courts at Chengalpattu, Tamil Nadu, India, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the use of KAAYO.
28. General Terms
You may not assign, transfer, delegate, or novate your rights or obligations under these Terms without KAAYO's prior written consent. Any purported assignment without such consent is void. KAAYO may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, financing, sale of business assets, or transfer of the service, with notice to you.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
KAAYO's failure or delay in enforcing any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
These Terms, together with the KAAYO Privacy and Data Policy, the KAAYO Refund, Cancellation and Billing Policy, and any order form, plan confirmation, or additional terms applicable to a specific feature or plan, constitute the entire agreement between you and Aumraa Technologies Private Limited with respect to KAAYO and supersede all prior discussions, agreements, representations, and understandings relating to the same subject matter.
